These Terms of Service ("Terms") constitute a legally binding agreement between you and C3 Performance Systems, a division of CareOne Direct LLC ("Company," "we," "us," or "our"), governing your access to and use of the c3performancesystems.com website and all related services, applications, and products (collectively, the "Services").

C3 Performance Systems provides leadership consulting services, assessment tools, and training resources for healthcare practices and professional organizations. Our Services include:

To access certain features of our Services, you may be required to create an account. When you create an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access

You must be at least 18 years old to create an account and use our Services.

Pricing and Payment

All prices are displayed in U.S. dollars unless otherwise stated. Payment is processed securely through Stripe. By making a purchase, you represent that you are authorized to use the payment method provided.

Subscriptions

Some Services are offered on a subscription basis. Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date. You may cancel your subscription at any time through your account dashboard or by contacting us.

Refund Policy

Due to the nature of digital products and services, all sales are final. However, we may consider refund requests on a case-by-case basis within 14 days of purchase if:

• The service was not delivered as described
• Technical issues prevented access to purchased content
• Duplicate charges occurred

• Attempt to gain unauthorized access to our systems
• Interfere with the proper functioning of the Services
• Engage in any fraudulent or deceptive activity
• Harass, abuse, or harm another person
• Share your account credentials with third parties
• Resell or redistribute our Services without authorization

Our assessment tools, including the Boss Rating System™, Employee Rating System™, Team Culture Assessment, and related surveys, are designed for professional development and organizational improvement purposes.

By using these tools, you acknowledge that:

• Results are based on self-reported data and perception-based feedback
• Assessment results should be used as one input among many for decision-making
• We do not guarantee specific outcomes from using our assessment tools
• You are responsible for how assessment results are communicated and used within your organization
• Assessment data and reports are confidential and should be handled appropriately

Our consulting and coaching services are provided for informational and educational purposes. While we strive to provide valuable guidance based on our expertise:

• We do not guarantee specific business results or outcomes
• Our advice is general in nature and should be adapted to your specific circumstances
• We are not responsible for decisions made based on our recommendations
• Our services do not constitute legal, medical, financial, or other professional advice

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL C3 PERFORMANCE SYSTEMS, CAREONE DIRECT LLC, OR THEIR DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of or inability to access or use the Services
• Any conduct or content of any third party on the Services
• Any content obtained from the Services
• Unauthorized access, use, or alteration of your transmissions or content

Our total liability shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

We do not warrant that the Services will function uninterrupted, secure, or available at any particular time or location, or that any errors or defects will be corrected.

You agree to defend, indemnify, and hold harmless C3 Performance Systems, CareOne Direct LLC, and their officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services.

We may terminate or suspend your account and access to our Services immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms.

Upon termination, your right to use the Services will cease immediately. If you wish to terminate your account, you may do so by contacting us or through your account settings.

These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in Georgia.

We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on this page and updating the "Effective Date." Your continued use of the Services after any changes constitutes acceptance of the new Terms. We encourage you to review these Terms periodically.

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

These Terms, together with our Privacy Policy and any other legal notices published by us on the Services, constitute the entire agreement between you and C3 Performance Systems concerning your use of the Services.
